Terms of Service

01 Agreement to terms

By creating an account, installing the application, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.

02 Definitions

• “Application” — the TRACKVID macOS desktop software, including updates.
• “Cloud Service” — our hosted services that handle scheduling, publishing, integrity checks, and storage.
• “User Content” — audio, tracklists, artwork inputs, metadata, branding, and other materials you provide or generate using the Service.
• “Connected Channel” — a YouTube channel you authorize TRACKVID to manage via OAuth.
• “Subscription” — a paid plan granting access to specific features.

03Accounts & eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity under your account. Notify us promptly at support@thaibeats.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

04 License to use the Service

Subject to these Terms and your payment of applicable fees, THAIBEATS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Application on devices you own or control, and to access the Cloud Service, solely for your internal business or creative purposes.

You agree not to, and not to permit others to:

• copy, modify, distribute, sell, lease, or sublicense the Service;
• reverse engineer, decompile, or attempt to extract source code, except where permitted by law;
• circumvent license checks, usage limits, or security features;
• remove proprietary notices, or use our name or marks without permission.

05Subscriptions, billing & trials

• Fees. Paid plans are billed in advance on a monthly or annual basis at the prices shown at purchase. Prices are exclusive of taxes unless stated; you are responsible for applicable VAT and other taxes.
• Free trial. Trials, where offered, convert to a paid Subscription at the end of the trial period unless cancelled beforehand.
• Renewal. Subscriptions renew automatically for successive periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Refunds. Except where required by law, fees are non-refundable and partial periods are not pro-rated. Statutory withdrawal rights for consumers in the EEA apply where applicable.
• Changes. We may change prices or plan features on prospective notice; changes apply at your next renewal.

06 Acceptable use

You agree not to use the Service to:

• upload, render, or publish content you do not have the rights to use;
• infringe intellectual-property, privacy, or publicity rights;
• distribute unlawful, harmful, deceptive, or infringing material, or spam;
• violate the terms, policies, or community guidelines of YouTube or any connected platform;
• engage in artificial inflation of views, deceptive metadata, or other platform-manipulation tactics;
• interfere with, overload, or disrupt the Service or its infrastructure;
• access the Service to build a competing product, or scrape it at scale.

We may investigate and take appropriate action, including removing content and suspending accounts, for violations.

07Your content & rights

You retain ownership of your User Content. You grant THAIBEATS a limited, worldwide, royalty-free license to host, process, transmit, and display your User Content solely to operate and provide the Service — for example, to render videos, generate artwork, and upload and publish to your Connected Channels.

You are responsible for clearances.You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for the audio, music, artwork, trademarks, and other content you process and publish with TRACKVID, and that your use and publication does not infringe any third party's rights or violate any law. THAIBEATS does not grant any rights in third-party music and is not responsible for clearing your tracks.

You are solely responsible for the metadata, descriptions, and scheduling you configure, and for the videos ultimately published to your channels.

08YouTube & third-party platforms

TRACKVID integrates with YouTube via the YouTube API Services. Your use of those features is additionally subject to the YouTube Terms of Service and the Google Privacy Policy. By connecting a channel, you authorize TRACKVID to upload, manage, schedule, and publish videos on your behalf.

• You are responsible for compliance with all platform rules for your channels and content.
• We are not responsible for actions taken by YouTube or Google, including content removal, copyright claims, strikes, demonetization, quota limits, API changes, or account suspension.
• Platform access may be interrupted or changed by the platform at any time, which may affect Service functionality.

09 AI-generated output

TRACKVID can generate artwork, thumbnails, and suggested metadata using AI models routed through our gateway. AI output may be inaccurate, generic, or similar to output provided to others, and is provided “as is.” You are responsible for reviewing AI-generated output before publishing and for ensuring it is appropriate, lawful, and non-infringing. To the extent permitted by law and the applicable model provider's terms, you may use the generated output for your videos; you must not rely on it as legal, factual, or professional advice.

10 Our intellectual property

The Service, including the Application, Cloud Service, design, code, models integration, and the TRACKVID and THAIBEATS names and logos, is owned by THAIBEATS AS or its licensors and is protected by intellectual-property laws. Except for the limited license granted to you, no rights are transferred. Feedback you provide may be used by us without obligation to you.

11 Third-party services

The Service depends on third-party providers, including Google/YouTube, Cloudflare, Vercel, our database and AI providers, and a payment processor. Your use of those services may be subject to their own terms. We are not responsible for third-party services and disclaim liability for their acts, omissions, availability, or changes.

12 Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that renders or uploads will always succeed, or that published content will achieve any particular result. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

13 Limitation of liability

To the maximum extent permitted by law, THAIBEATS and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of (a) the amounts you paid to THAIBEATS for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) EUR 100. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for gross negligence, willful misconduct, or personal injury.

14 Indemnification

You agree to indemnify and hold harmless THAIBEATS AS and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your published videos, your use of the Service, your violation of these Terms, or your infringement of any third-party or platform rights.

15 Termination

You may stop using the Service and cancel your Subscription at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your license ends and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law — survive termination.

16Governing law & disputes

These Terms are governed by the laws of Norway, without regard to conflict-of-laws principles. The courts of Norway (with Oslo tingrett as the agreed legal venue) have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except where mandatory consumer-protection law grants you the right to bring proceedings in your country of residence. Nothing in this section limits any mandatory statutory rights you have as a consumer.

17 Miscellaneous

• Changes to the Terms. We may update these Terms; material changes will be notified in-app or by email and take effect on the date stated. Continued use constitutes acceptance.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and THAIBEATS regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
